If you are a wholesale investor under the definition of that term in clause 3 of Part 1 Schedule 1 of the Financial Markets Conduct Act 2013, the usual rules do not apply to offers of financial products made to you. As a result, you may not receive a complete and balanced set of information.

Nuance invest in people over products, by hand-picking entrepreneurs and helping them to unleash their full potential. Nuance support founders through their entrepreneurial journey, by helping them to achieve their vision, solve problems, and scale their solutions to the world. Growth is accelerated by providing market access to global industry channels through strong market connections across Southeast Asia, Japan, the Americas, Europe and the Middle East. The fund has a strong ‘exit’ focus and through their cornerstone investor Alvarium, Nuance has access to an inhouse tech merchant banking team whose job once a Nuance portfolio company is ready will be to go around the globe seeking M&A opportunities. They have a network of global corporate and tech investors that can help drive exits for the portfolio.


Funds are a dime a dozen but like any investment, it is all about the people. Adrien Gheur and Ngaio Merrick are the founding partners of Nuance and between them, they bring over 30 years early stage investment skills and experience.


Adrien has over 20 years investment and company building experience with leading venture capital, private equity and hedge fund groups. Prior to Nuance Capital Limited, Adrien was Co-Founder & Managing Partner of Maloekoe Ventures in Singapore/Jakarta, an early stage venture fund focused on Southeast Asia where he led investments in e commerce, A.I./machine learning, gaming, IoT (Internet of Things), micro-mobility, enterprise SaaS and consumer internet plays. Earlier in his career, Adrien managed several award-winning Asian hedge funds in Singapore as Managing Director with APS Asset Management and Concordia Advisors. Previously, Adrien worked with Lehman Brothers in Hong Kong and began his career in the Principal Investment Area of Goldman Sachs. Having lived in 8 countries on 4 continents, Adrien brings a unique understanding of local investment landscapes, cultural nuances and a passion for solving problems. Adrien graduated Summa Cum Laude with First Class Honours from the University of Edinburgh and is also a Global Impact Investor in New Zealand's Edmund Hillary Fellowship.


Ngaio Merrick has a background in Physics and Maths, is passionate about deep tech and problem solving and spent 20 years in technical computing in New Zealand before taking on Sales Manager and General Manager roles. As a General Manager she oversaw two acquisitions building a strong understanding of building culture within companies for success. Ngaio was approached by Sir David Levene to run his investment portfolio in 2012 and has since made many investments on his behalf and supported those he had previously invested in. Lewis Holdings Limited is more than just funds and she has taken board roles, actively supported founders and occasionally taken roles inside the organisation for a period of time to assist with exits. Ngaio chairs KiwiNet, a unique collaboration of 18 university tech transfer offices and crown research institutions which jointly grants pre-seed funding to the science most likely to commercialise successfully.

She is an active member of the New Zealand start-up ecosystem, volunteering her time to run workshops, mentor, judge innovation awards and be involved with discussions right up to policy level if they improve the pathway for start-ups. Ngaio is authentic, kind, highly supportive of founders, people focused and well connected in New Zealand. Having lived in multiple continents and in a wide range of countries, Ngaio has an open mind to problem solving and a healthy respect for different cultures.


The fund has already made three investments: 


UBCO bikes - Vertically-integrated manufacturer of Utility Electric Vehicles (UEV) and battery technologies targeting enterprise and consumer markets e.g. food delivery, agriculture, conservation, tourism and recreation markets. Electric vehicles are expected to grow more than 10x over the next 10 years, with half of all vehicles sold being electric by 2040. UBCO is well placed to be riding this paradigm shift and has exceptional growth prospects especially in the untapped enterprise market.

Energy Bank - Deep Ocean Gravitational Energy Storage company developing a low-cost, scalable electricity storage technology with very high round-trip efficiencies with the aim of catalysing grid decarbonization. Their energy-storage-as-a-service offers significantly larger scale and lower cost (<10%) of what’s currently available.

Quantifi Photonics - Technology and fabrication company that provides test & measurement instrumentation and bespoke solutions to the optical communications market. Its products are used by a wide variety of clients from traditional telecom networks and component manufacturers such as Ciena, Google, and Acacia; to prime aerospace contractors such as Raytheon and Lockheed Martin.


The Offer:

  • Target size $60-80m (currently on track to close at more than $60m)
  • First close completed at $32m ($56m currently committed)
  • 5 year drawdown period
  • Targeted return rate to investors is 3x return of capital with 25% IRR
