The law normally requires people who offer financial products to give information to investors before they invest. This information is designed to help investors make an informed decision.

If you are an accredited investor under the definition of that term in Rule 501(a) of Regulation D of the US Securities Act of 1933, the usual rules do not apply to offers of financial products made to you. As a result, you may not receive a complete and balanced set of information.

You will also have fewer other legal protections for these investments. Ask questions, read all documents carefully, and seek independent financial advice before committing yourself.

Overview

Syndex has been asked to seek Expressions of Interest from investors to participate in the purchase of a parcel of Airbnb shares.

Airbnb is a private company and the largest pure-play short term home rental service in the world. The company is headquartered in San Francisco, California with offices in 19 cities in the U.S., Europe, and Asia. They have over four million listings in 190 countries (65,000 cities) and are the market leader in every country in which they operate. Airbnb was founded in 2008 and has since recorded well over 300 million guest arrivals. Over 70% of their business is outside the U.S. and they are expanding into business travel, family travel, luxury travel and experiences, all of which are even more lucrative than their core business.

The global market for business in travel and tourism is currently estimated to be $7.6 trillion. As this market continues to expand, millennials and Gen Z have been quick to embrace sharing economy platforms such as Airbnb over traditional travel accommodations such as hotels.

Airbnb has ample room for growth not only in the U.S. and Europe, but even more so in emerging markets where it still remains under-penetrated. With a combination of fast growing revenue, free cash flow and expanding EBITDA, the company is primed to go public. Under the Documents tab, you can access a Morningstar Equity Research Report from July 2018.

Syndex is proud to facilitate this opportunity to eligible investors. Investors participating in this Offer through Syndex will, in addition to any obligations set out in the PM, pay a Platform Fee as set out in the Athena Fee Agreement (AFM).

Shares will be available, subject to sufficient expressions of interest being generated to secure the available parcel. Pricing may vary subject to market conditions.

The closing date for the Offering will be 25 October 2019. This offer is open only to investors that are “accredited investors” (as defined in Rule 501(a) of Regulation D promulgated under the US Securities Act of 1933.
